1. About these terms
These terms govern the use of this website and of NuPay, the school accounting and fee management service operated by NuClass Pvt Ltd (“NuPay”, “we”, “us”). By using the website or the service, you agree to them.
If you use NuPay on behalf of a school, you confirm that you are authorised to accept these terms for that school. “The school” or “you” then means the school. Where the school has signed a separate agreement with us, that agreement takes priority over these terms.
2. The service
NuPay provides invoicing, online payment collection through a payment gateway, bank feeds, payment matching, accounting and reports for schools, together with NuClass student management. The features available depend on the plan the school has chosen. We may improve or change features over time, and will not remove a feature a school relies on without notice.
3. Accounts and users
- The school decides who has a user account and what each user is allowed to do.
- Each user must keep their sign-in details private and must not share an account.
- The school is responsible for what is done under its accounts, and must tell us promptly if it suspects unauthorised access.
- Parents and guardians can view and pay invoices without creating an account.
4. Plans, fees and billing
- Subscription fees are charged per school, per month, in US dollars, at the prices shown on our pricing page or agreed in writing.
- Fees are billed [in advance / in arrears] and are due within 30 days of invoice.
- We may change prices on 30 days’ notice. A change takes effect from the school’s next billing period.
- Charges made by the school’s bank or the payment gateway are separate from NuPay’s subscription fee.
- If fees remain unpaid 30 days after they are due, we may suspend access after giving notice.

5. Payments and banking
NuPay is not a bank and does not hold money. Fees paid by parents settle directly in the school’s own bank account. NuPay receives information about a transaction so that it can match it to a student and an invoice.
- Online payments are processed by the payment gateway, and bank feeds are supplied by the school’s bank. Their own terms apply to those services.
- A bank connection is set up only with the school’s authorisation and covers only the accounts the school chooses.
- We are not responsible for delays, failures, reversals or charges on the part of a bank, mobile-money operator, card scheme or payment gateway.
- Automatic matching is a tool to assist the school. The school remains responsible for reviewing its records and for the accuracy of its accounts.
6. The school’s data
- The school owns the information it puts into NuPay. We use it only to provide the service, as described in our privacy policy.
- The school is responsible for having the right to record and use the information of its students, parents and staff, and for its accuracy.
- The school can export its records while its subscription is active.
7. Acceptable use
You must not:
- use the service for anything unlawful, or to record information you have no right to hold;
- try to access another school’s information or any part of the system you are not authorised to use;
- interfere with the service, probe it for weaknesses or attempt to bypass its security;
- copy, resell or reverse-engineer the software; or
- use the service to build a competing product.
8. Availability and support
We work to keep NuPay available and will give notice of planned maintenance where we can. We do not guarantee that the service will be uninterrupted or free of errors. [add uptime commitment and support hours if offered]
9. Intellectual property
NuPay, NuClass, the software, this website and their content belong to us or our licensors. The school receives a right to use the service for its own internal purposes for as long as its subscription is active. Nothing in these terms transfers ownership of the software to the school, or of the school’s data to us.
10. Confidentiality
Each of us will keep the other’s confidential information private and use it only for the purposes of this agreement, except where the law requires disclosure.
11. Ending the agreement
- The school may cancel its subscription by giving 30 days’ written notice.
- We may suspend or end access if these terms are seriously or repeatedly broken, or if fees remain unpaid after notice.
- After the agreement ends, the school has 90 days to export its records. After that we delete them, unless the law requires us to keep them.
12. What NuPay is not
NuPay is software for keeping a school’s financial records. It is not accounting, tax, audit or legal advice. Reports produced by NuPay are based on the information entered and received, and the school is responsible for its own financial statements, tax filings and compliance.
13. Liability
To the extent the law allows:
- we are not liable for indirect or consequential loss, or for loss of profit, revenue or data that arises from the school’s own actions or from a third party such as a bank or payment gateway; and
- our total liability to a school in any 12-month period is limited to [amount, for example the fees paid by the school in that period].
Nothing in these terms limits liability that cannot be limited by law.
14. Changes to these terms
We may update these terms. We will post the new version here, change the date at the top, and give schools notice of any significant change. Continuing to use the service after a change takes effect means you accept it.
15. Governing law
These terms are governed by the laws of Zimbabwe, and the courts of Zimbabwe have jurisdiction over any dispute. We will always try to resolve a problem with you directly first.
